Terms and conditions of sale and delivery for Schur Automation a/s

1. Basis of agreement
1.1 These terms and conditions of sale and delivery apply to all offers, sales and deliveries from Schur Automation a/s, (hereinafter referred to as Schur), unless otherwise agreed in writing.
1.2 In the event of any discrepancy between the parties' individual terms of sale and delivery, these terms and conditions of sale and delivery shall prevail, unless otherwise agreed in writing.

2. Delivery
2.1 Delivery is made DAP, Incoterms 2020, where the Buyer pays the freight, unless otherwise agreed in writing.

3. General conditions for the supply of machines
3.1 All machines supplied by Schur are subject to the provisions of NLM 94 (for deliveries in Denmark, Sweden, Norway and Finland) and Orgalime SE 01 (for deliveries in the rest of the world), unless otherwise agreed in writing.

4. General conditions for the supply of inks, ribbons and other standard goods
4.1 All inks, ribbons and other standard goods supplied by Schur are subject to the provisions of NLS 95 (for deliveries in Denmark, Sweden, Norway and Finland) or Orgalime STP 18 (for deliveries in the rest of the world), unless otherwise agreed in writing.

5. General conditions for service and maintenance
5.1 All service and maintenance services provided by Schur are subject to the provisions of NU15 (for deliveries in Denmark, Sweden, Norway and Finland) or Orgalime M 2000 (for deliveries in the rest of the world), unless otherwise agreed in writing.

6. General conditions for renting Schur equipment
6.1 All equipment provided by Schur via rental is subject to the terms of Schur's standard rental agreement, unless otherwise agreed in writing.

7. General conditions for leasing Schur equipment
7.1 All equipment supplied by Schur via lease is subject to the terms of Schur's standard lease agreement, unless otherwise agreed in writing.

8. General conditions for Schur advice
8.1 Liability for advice provided by Schur without delivery of a product is limited to the amount received by Schur for the consultancy service.

9. General terms and conditions for Schur software
9.1 All machines with software provided by Schur are subject to the terms and conditions of Orgalime SW 01, unless otherwise agreed in writing.

10. Applicable law and jurisdiction
10.1 Disputes between Schur and the Buyer are settled in accordance with Danish law and by the ordinary courts and otherwise in accordance with the rules of the Danish Administration of Justice Act.
